By-Laws
BY-LAWS OF THE MISSIONARY SOCIETY FOR
PRESERVATION OF TRADITIONAL VALUES INC
- Amended June 14, 2009 -
ARTICLE I - NAME:
Section 1: The name of the organization shall be
MISSIONARY SOCIETY FOR PRESERVATION OF TRADITIONAL VALUES INC, here and
after MSPTV. It may also have the unofficial name of TRADITIONAL
VALUES SOCIETY.
ARTICLE II - PURPOSES:
Section 1: The purpose of the organization shall be
the preservation of spiritual, cultural, religious, and traditional values not
political in nature, within the meaning of Section 501 (c) (3) of the Internal
Revenue Code of 1986, as amended. It shall be for the fostering of ecumenical
dialogue concerning prayer and other forms for the proclamation of Traditional
Values.
ARTICLE III - ORGANIZATION AND MEMBERSHIP:
Section 1: The MSPTV shall consist of five (5)
voting board members. The board has the right to establish a board of directors
or council.
Section 2: The Corporation will issue memberships.
Any person may receive membership from the MSPTV regardless of race, creed,
color, sex or national origin.
ARTICLE IV - OBJECTIVES:
Section 1: To encourage full spiritual, cultural
and religious communion with spiritual faith.
Section 2: To encourage prayer in all its forms in
a setting for the greater glory of God.
Section 3: To support and cooperate with all
parishes in a loving spiritual manner.
Section 4: To provide spiritual counseling for our
members.
ARTICLE V – OFFICERS
Section 1: The officers shall be Chairman,
Vice-Chairman, Treasurer and Secretary.
ARTICLE VI – DUTIES OF OFFICERS
Section 1: The Chairman shall preside at the
business meetings, appoint committees, schedule programs, inform the media when
appropriate and perform other duties as may be prescribed by these by-laws.
Section 2: The duties of the Vice-Chairman shall be
to act for the Chairman when the later is unable to attend to his or her
duties. The Vice-Chairman shall attend the business meetings, appoint
committees, schedule programs and perform other duties as may be prescribed by
these by-laws.
Section 3: The duties of the Secretary shall be to
keep accurate minutes of the proceedings and distribute them to committee
members. The Secretary shall attend the business meetings, appoint committees,
schedule programs and perform all other duties assigned by these by-laws.
Section 4: The duties of the Treasurer shall be to
keep accurate financial proceedings and distribute them to committee members.
The Treasurer shall attend the business meetings, appoint committees, schedule
programs and perform all other duties assigned by these by-laws.
ARTICLE VII – DUTIES OF COMMITTEE MEMBERS
Section 1: The committee members shall be made
aware of all happenings of this society.
Section 2: The committee shall be involved in the
development of happenings and methods in addition to those devised by the
corporation. Such happenings will always be compliant with the teachings of the
Missionary Society for Preservation of Traditional Values. The Mission will
never be varied from in doctrine nor, will any change in these by-law sections
ever be allowed by the board/committee membership. The Mission will only be
changed by a referendum vote by a simple majority of members.
Section 3: The primary duty of each member of the
board/committee will always be to conduct themselves with Human Kindness, Love,
Honor, Dignity, Respect and Integrity.
ARTICLE VIII – MEETINGS
Section 1: Regular meetings will normally be held
quarterly. The meeting time, date and place will be set by committee
membership. Meetings may also be conducted via phone, if a committee member is
out of town.
Section 2: Special meetings may be called.
Section 3: Roberts Rules may be used for the
meetings along with Traditional methods.
Section 4: A quorum for a meeting shall be three
(3).
Section 5: The Secretary or a designated person shall file the minutes.
ARTICLE IX – CIVIL RIGHTS
Section1: Any person may receive religious services
from the MSPTV regardless of race, creed, color, sex or national origin.
ARTICLE X – AMENDMENTS
Section 1: These by-laws may be amended by a simple
majority vote of the MSPTV board members. A quorum of four (4) is required to
vote on amending these by-laws.
Section 2: All proposed changes to these by-laws
and any amendments to these by-laws must be presented in writing to the MSPTV
members of the board at least one month prior to the meeting at which the voting
is to take place.
