Articles of Incorporation
ARTICLES OF INCORPORATION
OF
MISSIONARY SOCIETY FOR PRESERVATION OF TRADITIONAL VALUES INC
The undersigned, a natural
person over the age of twenty-one (21) years, acting as incorporator under the Oklahoma
General Corporation Act, Title 18, do hereby execute the following certificate of
incorporation.
FIRST:
The name of the corporation shall be the MISSIONARY SOCIETY FOR PRESERVATION
OF TRADITIONAL VALUES INC.
SECOND:
This Corporation is a religious corporation.
THIRD:
The purpose for which this corporation is organized is exclusively religious,
cultural and charitable and not for any pecuniary profit or financial gain.
The corporation is organized to:
(a):
Promote the culture, religion and traditional values of American Indians and to
provide financial assistance and benefits to deserving congregational participants.
(b).
Receive, manage, administer and distribute funds and property exclusively for the
organizations described in subparagraph (a) above
(c):
Carry out programs to raise and solicit funds in support of organizations described
in subparagraph (a) above.
(d):
Engage in all activities which are necessary, suitable or convenient for the accomplishment
of the purposes set forth in subparagraphs (a) through (c) above, or incidental
thereto, or connected therewith.
(e).
Exercise all powers that non-profit corporations may now or hereafter have under
the laws of the State of Oklahoma, in particular, all powers enumerated in the Oklahoma
General Corporation Act, Title 18, provided, however, such powers and authority
shall be specifically limited by the purposes expressed in subparagraphs (a) through
(d) above.
FOURTH:
The purposes for which this corporation is organized are exclusively religious,
cultural and charitable within the meaning of Section 501 (c) (3) of the Internal
Revenue Code of 1986, as amended.
FIFTH:
Notwithstanding any other provision of these Articles, this organization shall
not carry on any activities not permitted by an organization exempt from federal
income tax under Section 501 (c) (3) of the Internal Revenue Code of 1986 or the
corresponding provisions of any future United States Internal Revenue Law.
SIXTH:
No substantial part of the activities of the corporation shall be directed toward
attempting to influence legislation and the corporation shall not participate in
or intervene in any political campaign on behalf of any candidate for public office,
nor shall it publish or distribute any statements related thereto.
SEVENTH:
In the event of dissolution, the Board of Directors of the corporation shall,
after paying or making provision for the payment of all liabilities of the corporation,
dispose of all of the assets of the corporation to such charitable, educational,
religious, literary or scientific organization as shall at the time qualify as an
exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue
Code of 1986 or the corresponding provisions of any future United States Internal
Revenue Law, as the Board of Directors shall determine. Any such assets not
so disposed of shall be disposed of by the District Court in Osage County, Oklahoma,
exclusively for such purposes or to such organization or organizations, as the Court
shall determine, which are organized and operated exclusively for such purposes.
EIGHTH:
No part of the net earnings of the corporation shall inure to the benefit of
or be distributed to its directors, officers, or other private persons except that
the corporation shall be authorized and empowered to pay reasonable compensations
for services rendered and to make payments and distributions in furtherance of the
purposes set forth in Article THREE hereof. The corporation shall not make
loans to its directors or officers.
NINTH:
There shall be four (4) directors who shall serve as the Board of Directors
of the corporation. The names and addresses of the individuals who are to
serve as the initial directors are as follows:
